On October 26, 2026, Meta Platforms, Inc. (Nasdaq: META) announced the launch of concurrent separate underwritten public offerings as part of a financing plan that supports continued investment in AI infrastructure and personal superintelligence, according to the Meta investor website (October 26, 2026).

The underwritten portion totals about $35 billion: about $22.5 billion of Class A common stock offered in connection with forward sale agreements, and about $12.5 billion in Depositary Shares, each representing a 1/20th interest in a share of newly issued Series A Mandatory Convertible Preferred Stock.

Meta also plans to launch an approximately $60 billion at-the-market (ATM) program upon the commencement of trading of its previously announced Class C common stock. The company has not entered into any agreement with respect to any such program, and the timing, size, and terms have not been determined. There can be no assurance that Meta will establish an ATM on the terms described, or at all. Per the release, such a program is not expected to commence until about the first quarter of 2027, following the start of Class C trading.

Meta expects about $135 to $145 billion of capital expenditures in 2026. Separately, NVIDIA, AMD, and Broadcom have indicated an interest in purchasing up to an aggregate of about $5.0 billion of Class A shares in the common stock offering; those indications are not binding, and any of them may buy more, fewer, or no shares.

Some media coverage cites a combined figure of about $95 billion for the approximately $35 billion underwritten offerings plus the planned approximately $60 billion ATM—that is a media sum, not a single aggregate total stated as one financing amount in Meta’s release.

This release does not constitute an offer to sell or a solicitation of an offer to buy these securities, nor an offer, solicitation, or sale in any jurisdiction where that would be unlawful. Offering and ATM details can change; the Meta investor website carries the latest wording. For reference only.
